(“Agreement”) – version June 2025

Program July 7,  2025 – August 29, 2025 (inclusive, 2025 Impact Fellowship)Tech Cohort focuses on research, benchmarking, and tooling, while Impact Cohort concentrates on well-being outcomes and community engagement. Shared annotation accelerates progress and gives every Fellow firsthand insight into cyber-bullying and self-harm nuance.
PartiescuraJOY, a Nevada 501(c)3 nonprofit corporation, also registered in California (collectively “curaJOY”) and _______________________________________________(“Fellow”).
Parent/Guardian: Required if Fellow is under 18 years old on July 7, 2025.

1 Purpose & Educational Nature

The curaJOY Impact Fellowship (“Program”) is an educational, public-service learning experience.

Both parties acknowledge the Program meets the U.S. Department of Labor’s primary-beneficiary test for internships and California DLSE guidelines for nonprofit training programs. Participation does not create an employment relationship; curaJOY’s benefit is incidental to Fellow’s learning.

2 Time-On-Task & Attendance

  1. Fellow must contribute and log a minimum average of 20 hours per week (~120 hours total).
  2. Two (2) grace absences with 24-hour notice are permitted.
  3. Material Breach: Three unexcused absences or falling >25 % behind the hour target without written approval.
  4. curaJOY will provide a time-log template on ClickUp; hours must be entered weekly.

3 Program Calendar (excerpt – full in Fellowship Handbook)

Standing meetings

Time may shift by ±60 minutes in mutual agreement to remain within 22:00–23:00 TWT / 07:00–09:00 PDT.

4 Educational Scholarship Stipend

The Scholarship Stipend is an educational scholarship grant and is not wages for services. Fellow is solely responsible for understanding and fulfilling any personal tax obligations that may arise from receiving this scholarship.

5 Deliverable Acceptance & Quality Standard

A Deliverable is ‘Accepted’ when it satisfies the functional and quality benchmarks recorded in the Fellowship Project Board (a living ClickUp workspace administered by curaJOY). The Board entries specify objective criteria—e.g. unit-test coverage, user-story completion, data QA thresholds—and are subject to mentor review at each weekly sprint. The Board, as amended by mutual written agreement in sprint reviews, shall be deemed incorporated by reference into Annex A.

curaJOY will confirm acceptance or give written feedback within 5 business days.

1. Agile Change-Management for Annex A & B

  1. Adjustable Milestones. The Parties acknowledge that Annex A (Tech Cohort) and Annex B (Impact Cohort) follow an agile, research-driven workflow. Milestone descriptions, target dates, or quantitative thresholds in either annex may be modified when:
    a. the relevant Cohort Lead (named in the annex) and the Program Mentor agree in writing (email, Slack, or ClickUp comment), and
    B. the change is documented on the Fellowship Project Board within forty-eight (48) hours.
  2. Permitted Variations. Acceptable changes include, but are not limited to:
    • re-sequencing tasks without extending the Program Window;
    • substituting deliverables of equal or greater educational value (e.g., replacing 1.000 “silver” labels with equivalent partner-dataset curation hours);
    • reallocating up to ten percent (10 %) of weekly hours between Fellows or cohorts to meet emergent needs.
  3. Material Changes. Any adjustment that (i) extends the Program Window, (ii) reduces the total learning hours, or (iii) alters intellectual-property ownership requires a written amendment signed by curaJOY’s Program Director.
  4. Single Source of Truth. The Fellowship Project Board in ClickUp (or successor tool) constitutes the binding record of current milestones. Conflicts between the board and Annex A/B are resolved in favor of the most recently time-stamped board entry approved under §5.1.1.
  5. No Waiver of Standards. All modified deliverables remain subject to the quality gates (e.g., κ-statistics, ROC-AUC, WCAG accessibility) set out in the annexes unless explicitly waived in the written change record.

6 Intellectual Property & Licences

  1. In consideration of the educational opportunities and Scholarship Stipend provided, Fellow agrees to assign and hereby does assign to curaJOY all rights, title, and interest in and to any and all intellectual property created as a direct result of participation in the Program (“Program Outputs”).
  2. curaJOY will release code under an OSI-approved licence and data/content under CC BY 4.0.
  3. Fellow retains portfolio use and irrevocably waives the right to assert moral rights against curaJOY or downstream users.
  4. Pre-existing IP contributed by Fellow must be disclosed in writing; such components remain Fellow’s but are sublicensed to curaJOY for Program use.

7 Confidentiality & Data Protection

  1. Confidential Information = any non-public curaJOY or partner material.
  2. 3-year NDA from Program end.
  3. Dataset released publicly is fully anonymised; processing complies with COPPA (for U.S. minors), GDPR principles, and Nigerian NDPR as applicable.

8 Code of Conduct

Fellow shall:
• adhere to curaJOY’s Code of Conduct (Annex B);
• follow “two-deep” adult supervision & recorded-session rules where minors are present;
• notify staff of self-harm or abuse disclosures (mandatory-reporting jurisdictions).

9 Media & Recording Release

Fellow (and Guardian) grant curaJOY perpetual, worldwide, royalty-free rights to use Fellow’s name, likeness, voice, and Program outputs for educational or promotional use consistent with the nonprofit’s mission. Recordings of sessions with minors are for internal safety/training only and will not be public without additional consent.

10 Minor Work-Permit & Parental Notice

If Fellow is under 18 years old:

  1. Guardian affirms they will secure any required school work-permit (CA B1-1/B1-4) before July 7,  2025 and ensure compliance with applicable child labor hour limits.
  2. Guardian consents to Fellow’s online participation, data handling, and use of collaboration tools (Slack, Zoom, ClickUp, GitHub, DataCamp, Discord).
  3. Guardian authorizes curaJOY to obtain emergency medical treatment if unreachable.

11 Liability Waiver

To the fullest extent permitted by law, Fellow and Guardian waive and release curaJOY from liability for ordinary negligence in connection with Program activities except gross negligence or wilful misconduct. This covers virtual activities and optional in-person events.

12 Termination & Cure

  1. Either party may terminate on 5 days’ written notice (e-mail acceptable).
  2. curaJOY may terminate immediately for egregious misconduct, data breach, or safety violation.
  3. Fellow has a 5-day cure window for non-egregious breaches.
    Upon termination, future unpaid Scholarship Stipend instalments are forfeited.

13 Governing Law & Venue

This Agreement is governed by California law (substantive).
Exclusive venue: San Diego County, CA or, at curaJOY’s election, Clark County, NV.

14 Entire Agreement & Severability

This document and Annexes A,B constitute the entire agreement; amendments require written consent of both parties. Invalid provisions are severed; the remainder survives.
